By accessing, browsing, or using Shopdex ("the Service"), operated by Shopdex ("we," "us," or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms in their entirety, you must immediately discontinue use of the Service. Your continued use of the Service constitutes your ongoing acceptance of these Terms, including any updates or modifications made to them.
Shopdex is an e-commerce intelligence platform that provides store analysis, product sourcing tools, competitor research, Meta ad analytics, content research, AI-powered image generation, and AI store building tools. The specific features available to you depend on your subscription tier. We reserve the right to modify, update, or discontinue any feature or aspect of the Service at any time, with or without notice, without liability to you.
You must create an account to use Shopdex. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, whether or not authorized by you. You must notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.
Shopdex offers a free tier and paid subscription plans (Starter at $49/month, Pro at $79/month, and Business at $149/month). By subscribing to a paid plan, you expressly authorize us to charge your designated payment method on a recurring monthly basis at the then-current rate for your selected plan. Subscription fees are billed in advance at the beginning of each billing cycle. All prices are in U.S. dollars unless otherwise stated. We reserve the right to change subscription pricing at any time upon 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
All payments made to Shopdex are non-refundable, except under the following limited circumstance:
A refund may be issued only if all of the following conditions are met: (a) the request is made within 24 hours of your first-ever purchase, (b) you have not used the Service to analyze any store URLs during that period, and (c) the request is determined to be reasonable at our sole discretion.
Under no circumstances will refunds be issued for:
• Subscription renewals (monthly recurring charges)
• Plan upgrades or downgrades
• Unused time remaining on an active subscription
• Partial month usage
• Charges incurred after the 24-hour first-purchase window
• Any purchase where the Service has been used to analyze one or more store URLs
By subscribing to any paid plan, you acknowledge and agree to this refund policy in its entirety. To request a refund under the eligible circumstance described above, contact us at hello@shopdex.io within the 24-hour window.
You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation, your subscription will remain active until the end of the current billing period. You will not be charged for subsequent billing periods after cancellation. No prorated refunds will be issued for the remaining time in your current billing cycle. Cancellation does not entitle you to a refund of any previously paid fees. After cancellation takes effect, your account will revert to the free tier with limited functionality.
The free tier provides one store URL analysis at no cost. The free tier is subject to feature limitations as described on our pricing page. We reserve the right to modify or discontinue the free tier at any time without notice.
You agree not to: (a) use the Service for any unlawful purpose or in violation of any applicable laws or regulations; (b) attempt to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service; (c) scrape, crawl, or use any automated means to access the Service or extract data without our express written consent; (d) redistribute, resell, sublicense, or make the Service available to any third party; (e) interfere with or disrupt the integrity or performance of the Service; (f) attempt to gain unauthorized access to any portion of the Service or any related systems or networks; (g) use the Service to harass, abuse, or harm others; or (h) share your account credentials with any third party.
The data, analytics, and information provided by Shopdex are for informational purposes only. While we strive to provide accurate and up-to-date information, we make no guarantees regarding the accuracy, completeness, reliability, or timeliness of any data or analysis generated by the Service. You acknowledge that business decisions made based on data from Shopdex are made at your own risk. We are not responsible for any losses, damages, or missed opportunities resulting from reliance on data provided by the Service.
All content, features, functionality, trademarks, service marks, trade names, logos, and all other intellectual property associated with Shopdex are the exclusive property of Shopdex and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes only. You may not copy, modify, distribute, sell, or lease any part of our Service or included software without our express written permission.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHOPDEX, INCLUDING ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES, SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN; (C) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; (D) ANY ERRORS OR INACCURACIES IN ANY DATA OR CONTENT PROVIDED THROUGH THE SERVICE; OR (E) ANY OTHER MATTER RELATING TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
You agree to indemnify, defend, and hold harmless Shopdex, Shopdex, and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any claim that your use of the Service caused damage to a third party.
We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice, and without liability to you. Grounds for termination include, but are not limited to: violation of these Terms, fraudulent or illegal activity, non-payment, abusive behavior, or any conduct that we determine, in our sole discretion, to be harmful to the Service, other users, or our business interests. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action lawsuit.
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions of these Terms will remain in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Shopdex regarding the use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to this page. We will update the "Last updated" date at the top of this page. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
